Marked 31 changes across the SPA. Three depart from the playbook: the indemnity cap sits at 15% rather than 10%, the survival period runs 24 months, and the MAC definition carries no carve-out for market-wide events. All three are in the committee note.

7INDEMNITIES
7.1Indemnity cap
The aggregate liability of the Sellers under this Agreement shall not exceed ten (10) per cent. of the Consideration fifteen (15) per cent. of the Consideration, save in the case of fraud or fraudulent misrepresentation.
7.2Consideration shares
The Consideration shall be satisfied in part by the allotment of 1,146,250 1,102,500 Consideration Shares, as set out in the Capitalisation Table.
7.3Survival
The Warranties shall survive Completion and remain in full force for a period of twenty-four (24) months.

22. GENERAL UNDERTAKINGS

22.3 Negative pledge. No Obligor shall (and the Company shall ensure that no other member of the Group will) create or permit to subsist any Security over any of its assets, other than Permitted Security.

22.4 Disposals. No Obligor shall enter into a single transaction or a series of transactions to dispose of any asset, except for disposals permitted under paragraph (b) of Clause 26.4 (Acquisitions) or made with the prior written consent of the Majority Lenders.

Definition 1 of 2

"Permitted Security" means: (a) any lien arising by operation of law and in the ordinary course of trading; (b) any Security arising under the Transaction Security Documents; and (c) any Security securing indebtedness the principal amount of which does not exceed EUR 5,000,000 in aggregate.
