1.Purchase of Shares

1.1This Contract Note confirms the purchase of 150,000 ordinary shares in NordicTech AB, org. nr 559012-3456, representing 15% of the total share capital, at a price of SEK 42.50 per share for a total consideration of SEK 6,375,000.

1.2The shares shall be transferred free from encumbrances and with all rights attaching thereto as of the Completion Date.

2.Consideration

2.1The purchase price of SEK 6,375,000 shall be paid in full on the Completion Date by wire transfer to the Seller's designated account.

2.2Stamp duty and transaction costs shall be borne by the Buyer.

3.Completion

3.1Completion shall take place on December 20, 2024. The shares shall be registered in the Buyer's name in the share register of NordicTech AB upon receipt of cleared funds.

4.Governing Law

4.1This Contract Note shall be governed by and construed in accordance with the laws of Sweden. Any dispute arising out of this Contract Note shall be finally settled by arbitration under the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce.
